Why do I need a turnaround investor? I can sell my business or implement the change plan myself.

2nd Future strives to partner with you from the inside out to help you to obtain more value from your business—before it’s too late or to avoid bankruptcy. A successful transaction requires an extensive knowledge of buyers as well as many specific skills. In manufacturing operations, for example, 2nd Future is the bridge between you business world and financing. Although you are the expert in running your business, you also have an emotional stake that can limit your objectivity. Such ties can inhibit an owner in correctly valuing the business or in successfully implementing a change.

How do you ensure confidentiality?

2nd Future methodology guarantees strict confidentiality from the beginning to the end of the transaction. The analysis phase allows us to involve only a few stakeholders who will all sign a non-disclosure agreement. Our ethical approach and values avoid any conflicting interests. 2nd Future takes no action unless we have agreed with the objectives, scope and approach to be employed. 2nd Future guarantees not to be a fiduciary for another competitor group.

What is 2nd Future’s revenue structure? 

2nd Future is not a typical consulting firm. Our 24/7 business advice and process implementation are made with a moderate yearly retainer fee. Leveraging our talent and expertise, we profit when our strategies perform well with compensation based upon a success fee or our investment in your business.

The first phase—including the analysis and the initial plan drafting all of your options (business development, liquidity event, and change implementation) based on the company current status—is free. Then the plan under our thorough supervision is covered by our retainer fee. That fee will be negotiated based upon your objectives, the complexity of the material disclosed to us, and the number of days we spend with you on a bi-weekly basis.

If our future role is only to act as an advisor for the business change/ improvement execution, then our fees are based on a yearly retainer fee and a negotiated success fee until the plan has been satisfactorily executed. Benefits from the platforms accessed occur in the normal course of transactions between you and 2nd Future.

Please note: The value that 2nd Future will add to the transaction (exit event or move from distress to stable business) is guaranteed to far exceed our retainer fee and success fee. If 2nd Future is investing in the business, then you will benefit. In such transactions, timing is critical and will impact the market value of the transactions.

Why might a transaction not happen in the end?

The primary reason that a transaction does reach fruition is that critical, material information was not shared. 2nd Future serves as a partner to maximize your wealth. We do not possess conflicting interests. Therefore, you will optimize your advantage to the extent that 2nd Future can help you to consider relevant options.

What are the differences between 2nd Future and an M&A standard boutique?

2nd Future does not act as an M&A boutique or a typical consulting business. Instead, 2nd Future prefers to partner with you to achieve success in the growth and development of your business.

Our vocation is helping businesses and facilitating distressed investing by engineering turnaround. We remain involved in the operations after the transaction to share in the benefits that result from the turnaround we implement or our investment.

Using its unique engineering turnaround methodology, 2nd Future provides upfront options when acting on the buyer side that others will not normally offer. For example, if the transaction is an acquisition by engineering turnaround, we will take the risk together to execute the plan and then complete the transaction on our formal previously agreed transaction basis.

Additionally, by giving you the access to 2nd Future platforms, you gain a competitive advantage to help turnaround your business. In the end, we bring more value to you.
